Terms of Service
1. Introduction
These Terms govern use of the Centropic platform (“Service”) provided by Engineering Factory (“Provider”). By accessing or using the Service, you accept the Terms. If you act on behalf of an organization, you represent that you have authority to bind it.
2. Service Description
Centropic is a B2B AIO/GEO intelligence SaaS: site analysis, scores, share of voice, findings, and related deliverables. Features depend on the plan and enabled capabilities. The Service may evolve; beta features may be modified or withdrawn with reasonable notice where practical.
3. Accounts and Eligibility
- You must provide accurate information and maintain the security of your credentials.
- The Service is intended for adult professional users.
- You are responsible for activity under your account, including invited users in your organization.
4. Plans, Credits, and Payments
- The Free / Plus / Business plans and credit top-ups are described in Pricing. All listed prices exclude taxes; taxes, where due, are calculated at Paddle checkout.
- Payments are handled by Paddle (Merchant of Record).
- Credits consumed for analysis are non-refundable except as provided in the Refund Policy.
- You can manage or cancel your subscription from Settings → Billing or by contacting info@centropic.ai.
- For digital content with immediate performance, at checkout we ask you to request performance and accept the loss of the 14-day right of withdrawal (Directive 2011/83/EU), where applicable.
5. Acceptable Use and Prohibitions
You may not: (a) use the Service in violation of law; (b) attempt unauthorized access; (c) interfere with infrastructure or other tenants; (d) resell the Service without an agreement; (e) upload unlawful content; (f) bypass plan limits or security measures; (g) use outputs for abusive spamming or fraudulent activity.
6. Customer Content and License
Customer Content remains yours (URLs, site materials, instructions). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display that content solely to provide the Service. You represent that you have the necessary rights to the sites analyzed.
7. Provider Intellectual Property
The platform, software, trademarks, UI, prompt templates, and documentation remain the property of the Provider or its licensors. We grant you a limited, non-transferable right to use the Service during the subscription. Outputs generated for you may be used in your business, provided that you do not acquire rights in the underlying software.
8. AI and Nature of Outputs
Scores, findings, and recommendations are decision-support tools based on AI models and public sources/crawling. They do not constitute legal, tax, or automatic compliance advice. You must verify materially relevant information before making operational decisions. Details: AI Transparency.
9. Availability and Changes
We work to keep the Service reasonably available, but we do not promise uninterrupted availability or error-free operation. Maintenance, force majeure, and third-party dependencies (LLMs, payments, DNS) may cause interruptions. We may modify or suspend features with reasonable notice for material paid changes.
10. Warranties and Disclaimers
The Service is provided “as is” and “as available,” to the extent permitted by law. To the maximum extent permitted, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits mandatory consumer rights where you are a consumer; for typical B2B customers, the limitations in this section apply fully.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- we are not liable for indirect or consequential damages, lost profits, loss of data, or business interruption;
- the Provider’s aggregate liability for Service-related events in any 12-month period will not exceed the amount you paid the Provider for the Service during those 12 months (or €100 if you have not paid);
- the limitations do not apply to willful misconduct, gross negligence, or other liability that the law does not allow to be excluded.
12. Indemnification
You agree to indemnify the Provider against third-party claims arising from your Content, unlawful use of the Service, or breach of these Terms, except where the liability is solely attributable to the Provider.
13. Suspension and Termination
We may suspend or terminate access in the event of breach, security risk, non-payment, or legal request. You may close the account and cancel renewals as indicated in Settings / the Paddle receipt. Upon termination, the right to use the Service ends; some obligations (IP, liability, indemnity) survive.
14. Privacy and DPA
Data processing is described in thePrivacy Policy. For processing as processor, the following applies: DPA.
15. Governing Law and Venue
These Terms are governed by Italian law. Competent venue: Italian courts, except for any mandatory consumer venue where applicable.
16. Changes to the Terms
We may update the Terms by publishing the new version with date and version number (currently v2026-08-12). Continued use after the effective date constitutes acceptance, unless otherwise required by law.
